ICSI NATIONAL SEMINAR on NCLT and NCLAT

The Eastern India Regional Council of The Institute of Company Secretaries of India(EIRC of ICSI) organised National Seminar on NCLT (National Company Law Tribunal} and NCLAT {National Company Law Appellate Tribunal} on April 23rd  2016 at Hotel Park, Kolkata, today.

The Institute has been organising a series of National Seminars on National Company Law Tribunal (NCLT) and National Company Law Appellate Tribunal (NCLAT),  for building capacity to face  the forthcoming professional challenges and  in taking up cases with NCLT and NCLAT,  which may come in the form of transitional challenges, i.e transfer of cases from Company Law Board, High court, BIFR/AAIFR to NCLT, new powers conferred on NCLT, manner of  dealing with cases, drafting of applications/petitions, court crafts, including moot court  etc, The institute has already organised National Seminar at Chandigarh and Guwahati.
Shri N.K. Bhola, Regional Director,Ministry of Corporate Affairs (Eastern Region) was the Chief Guest. Speaking on the occasion, Mr. Bhola said that this type of seminar is a game changer for professionals especially Company Secretaries and help in the capacity building of the members. He said that the topic chosen is an apt topic and relevant with the times. The cases that are being currently dealt under Company Law Board, High Court and BIFR will eventually be transferred to NCLT.  The challenges in front of these bodies may be in the form of transition of cases, manner of dealing with new cases, constitution of various benches of NCLT, capacity building of professionals to deal with the cases before NCLT, initial implementation difficulties in interpretation of legislative and procedural aspects, regulatory harmonisation so on.
In her inaugural address, CS MamtaBinani, President, ICSI, informed that Company Secretaries are authorised to appear before NCLT and NCLAT and requires legal expertise, drafting skills, court etiquettes etc. The objective of National Seminars by the institute covers moot courts, drafting aspects etc is to help the professionals to deal with cases more confidently. She also spoke about the various student initiatives of the ICSI like ICSI Study Centre, ICSI Signature Award, International CS Olympiad and so on. She stressed on the fact with the ICSI is closely working with Government authorities for betterment of MSME and other allied sectors and helping in the growth of the economy.  The ICSI is celebrating 2016 as Corporate Governance year and

CS Santosh K Agarwala, Council Member ICSI and Programme Director in his speech spoke on the importance of the seminar and the topic chosen as NCLT is a realty and professionals should be ready for it. He said NCLT and NCLAT are constituted under Companies Act 2013. The powers that are currently exercised by the company law Board, High Court, BIFR under Companies Act would be transferred to NCLT.He further added that all the applications, petitions, appeals filled before NCLT/NCLAT shall be disposed off within 90 days but can be extended by the President/ Chairperson further not exceeding 90 days
CS Sandip Kr Kejriwal, Chairman, EIRC of ICSI and Programme Co-ordinator welcomed the participants and spoke on the importance of NCLT and NCLAT,the role of Company Secretaries in these bodies and the challenges thereof. He said currently four different forums i.e. High Courts, CLB, BIFR and the DRTs, have overlapping jurisdiction, which gives rise to the systemic delays and complexities in the process. The NCLT overcomes these challenges and would reduce burden on the Courts as all litigations will be filed before NCLT.


CS Siddhartha Murarka, Vice Chairman, EIRC of ICSI also spoke about the relevance of NCLT for professionals. CS GautamDugar, Secretary, EIRC of ICSI proposed vote of thanks. The eminent faculties, with decades of professional experience brought effective key take aways to the participants.  The sessions covered  include drafting including manner of filing application with NCLT , court crafts, moot court, derivative actions etc. The seminar was attended by more than 200 delegates.

TingTongs is a multi app user interface, a dream come true by 3 passionate tech savvy individuals.  Going by the name TingTongs Solutions Private Limited is a  company is based in Pune founded by Mr. Gursharann Singh and Mr. Ashish Vijayvargiya.  The company has a very open, hierarchy free environment that provides  a sense of ownership to the highly skilled team of techies led by Mr.  Shantanu Sinha.
A pilot by training, a passionate sales person and an entrepreneur by heart Mr. Shantanu Sinha is the CTO of TingTongs.  When asked about the competitors, he said, “Here I would like to mention that we are developing this app on a completely different model and that is our USP which sets us apart from the crowd. We have integrated social networking and utility needs on one platform, which is one of it’s kind. The global players for mobile apps are in this market since long and are doing pretty good.  We as a startup so we cannot categorize them as a competitor and it would be against the professional ethics. “
Mr. Shantanu Sinha added, “We are working on an App which will cater all your needs and you don’t have to exit the application for most of the online activities.  We are tying up with many API providers so that our users will be able to use the same platform, complete all online requirements without even exiting the application.”
They started of this project with a simple goal of making communication much more easier and flexible for all the section of the society irrespective of their social status. Creating an application which has all the daily amenities like Bill payments, Travel bookings, cell phone recharge and many more.  The company strongly believes that quality speaks for itself and are taking social media very seriously. They are also trying to seek organic attention  on every possible platform through their hardwork and quality under the able leadership of Mr. Shantanu Singh.
During the first phase of launch TingTongs rolled out all the basic features of chat application like, instant chat, free video & voice calling along with additional features like latest news and coupon codes.
In their second phase of launch the users would be able to book a cab, hotel rooms and utilize almost all the services of virtual wallet without being redirected anywhere.

TingTongs has a single client platform on Android and by early June 2016, they plan to have iOS platform on air. They are reconstructing the entire XMPP and are rewriting the codes.  They have also used PHP and Erlang language and trying to make the most user-friendly Algorithm which will give users the best experience possible.  Mr. Shantanu Sinha strongly believes that where there is hardwork, failure does not exist.

It has helped to nurture entrepreneurship and create virtues among aspirants who emerged as winners in various arenas of life.  Reflecting on these beliefs, iLEAD pass out student ShilajitDey,from iLEAD Production, directed the film, ‘I Can Lead’.  It was financed and supported by iLEAD with all kinds of equipment and existing student and faculty support. Even iLEAD Chairman Pradip Chopra acted in this film.     
On 14th April at 9:00 pm, the film was premiered on NDTV Prime. Numerous viewers across the world, highly inspired by the film, showered all members of iLEADProduction, the filmmaker and the institute with compliments and feedbacks over phone calls and emails.
The narrative is about a meek and distressed struggler Akash Vardhan (played by Meet Vasudevan) who wants to make it big in life. The film shows how he spends hours imbibing essential skills, howhe overcomes his severe lack of confidence, how he learns tips and tricks by gaining support from teachers and peer groupsand eventually emerges as an inspiration himself. The enchanting background score by ‘Road Roller’ adds to the charm of ‘I Can Lead’.   Many of those who watched this grand world premiere of the iLEAD Production film could not contain their excitement as they were glued to their television screens watching the famous iLEAD campus, its students and faculties.
Most characters in the story have played their real life roles in this film. For instance most students in the film are actually students of iLEAD institute; teachers are in reality iLEADinstitute faculties and the chairman is the iLEAD Chairman,thus making this film by iLEAD Production very unique and a class apart in its making.

A seminar on ‘Future Trends of Marketing’ organized by iLEAD in association with Cambridge Marketing College, UK was designed to inspire young marketers to ask the right questions and also make the right decisions.   ‘Micro-Moments: The new battleground for today’s marketers’ as it was called began with a welcome address by the Chairperson of iLEAD, Mr. Pradip Chopra at the Dale Carnegie auditorium. The sessions that followed were:

Game changers of marketing in the last 5 years’ for which the speakers were - Abhishek Bhattacharya (Head Brand, Ambuja Cements) and Aniruddha Sinha (Head Marketing and National Brand Head, Lafarge India).  What is there in the future’ for which the speakers were Amit Sahai (VP Internationak Sales & Marketing Adapt International) and Soumyadip Chakraborty (Associate Director, KPMG)
New tools, techniques and analytics’ characterized the next session where the CMC Brand Ambassador for India, Nandan Sengupta took over. iLead Institute of Kolkata, in association with Indian Institute of Corporate Affairs (IICA), today presented the IICA Certification Program in CSR (ICP in CSR) at Kolkata as the only programme of its kind in India that is developing CSR Professionals in the country post enactment of Section 135, Companies Act 2013 on CSR. In 2015, ICP in CSR developed 170 CSR Professionals through its 1st batch. As an IICA partner, iLead, Kolkata is currently rolling out batch 2 in Eastern India.

B)     4 weeks of contact classes with an online exam on 4 weekends to be undertaken at the premises of partner institutions like iLead. Batch 2 is currently partnering 15 such institutes across India.

C)     12 weeks of Project Work undertaken with a NGO/Foundation/Trust/Society/Section 8 company facilitated by the IICA

D)     3 Weeks of Corporate Attachment facilitated by the IICA

At the IICA, Nikhil is currently part of the core team that is working under the leadership of Dr. Bhaskar Chatterjee, DG & CEO, IICA to assist the rollout of the new CSR agenda in the country post enactment of Companies Act 2013.

CS Mamta Binani, President, ICSI and Keynote speaker in her address said that Compliance is as old as civilization and compliance of rules and regulations help organisations and businesses to maintain trust and competition in the market. She stressed on the part that Compliance is an integral part of the organisation’s governance and decision making process and organisations with good compliance practices actually help themselves by fostering growth and investor confidence. She concluded by saying that “Compliance is not a cost center, since its benefits would always be more than costs”.

While addressing the dignitaries, CS Sandip Kr Kejriwal, Chairman, EIRC of ICSI and a Keynote Speaker emphasised the role of compliance. He said  such exchange programmes can help the business  fraternity understand the importance and benefits of Compliance. Speaking at the occasion Mr Kejriwal said, Secretarial Standards laid by the Institute is a good step of compliance management and helps Companies to follow good corporate governance practices. He also made a point that timely and efficient compliance process helps in avoiding penalties and ensures good ethical practice in a corporate.


The Oxford style debate was held for the motion ‘Compliance : Benefits are more than Costs’. CS C..Radhakrishnan was the moderator of the debate. CS B.B.
